Because of Value Plus’ required management participation and given the nature of the companies we engage, a unique structure needed to be developed and implemented. Value Plus will negotiate a cash neutralmanagement contract with the company, for specified task, simultaneously with making capital available to the company. In most cases, 100% of the fees associated with the management agreement will be deferred until an institutional round of capital is secured. Periodically, a strategic hire may be necessary requiring an initial salary and the cash flow for that employee or consultant is usually funded through the Value Plus Ventures whereby minimizing to impact to the company. Alignment of objects is critical to the success of any early stage company and the Value Plus model creates true synergy between the investor and the company. Success cannot be achieved independently.
